Welcome to The Binary Breakaway! These Terms of Service ("Terms") govern your access to and use of the content, services, and features provided by The Binary Breakaway (the "Publication"), operated by Triantha LLC ("we," "us," or "our").

By accessing or using our Substack, whether as a free subscriber, a paid subscriber, or a casual visitor, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Publication.

1. Acceptance of Terms

By subscribing to, reading, or otherwise interacting with the Publication, you acknowledge that you have read, understood, and agree to these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and the Publication.

2. About The Binary Breakaway

The Binary Breakaway is a digital publication hosted on the Substack platform, offering insights, analysis, and commentary on emerging technology and geopolitical issues. We offer both free and paid subscription tiers, each providing access to different levels of content and features.

3. Content and Intellectual Property

• Our Content: All content published on the Publication, including articles, analyses, opinions, graphics, images, audio, video, and comments (excluding user-generated comments that are not part of our editorial content), is owned by Triantha LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

• Limited License: When you subscribe or access our content, we grant you a limited, non-exclusive, non-transferable, revocable license to access and read the content for your personal, non-commercial use only.

• Prohibited Uses: You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our content without our prior written consent, except as incidentally permitted for personal, non-commercial use.

  • Use any content for commercial purposes without our express written permission.

  • Systematically download or store content to create a database or archive.

  • Remove any copyright, trademark, or other proprietary notices from copies of our content.

  • Use any automated system or software to extract data from our Publication ("screen scraping").

• Attribution: If you share excerpts of our content (e.g., on social media), you must provide clear attribution to the Publication and, where possible, link back to the original source on our Substack.

4. Free and Paid Subscriptions

• Free Tier: Access to certain content and features of the Publication is available for free upon providing your email address.

• Paid Tier(s): We offer paid subscription tiers that provide access to premium content, exclusive features, and/or community access as described on our Substack subscription page.

• Pricing and Payment:

  • Subscription fees for paid tiers are set forth on our Substack subscription page and are subject to change. Any price changes will be communicated to you in advance.

  • Payments are processed securely by Substack's third-party payment processors (Stripe). We do not store your full payment card details.

  • By purchasing a paid subscription, you authorize Substack's payment processor to charge your chosen payment method for the applicable subscription fees.

• Automatic Renewal: Paid subscriptions typically renew automatically at the end of each billing period (e.g., monthly or annually) unless you cancel. You will be charged the then-current subscription fee.

• Cancellation: You can cancel your paid subscription at any time through your Substack account settings. Cancellation will take effect at the end of your current billing period, and you will not receive a refund for any unused portion of the subscription. Your access to paid content will cease at that time.

• Refunds: Generally, all subscription sales are final. We do not offer refunds for partial subscription periods. In exceptional circumstances, or if required by applicable consumer protection laws, refunds may be considered at our sole discretion.

5. Community Guidelines and User Conduct

We encourage respectful and constructive engagement in our comments sections and any community features. The Publication’s community will always be a safe space for creative thought and unique insights. By interacting with our community, you agree to:

• Be Respectful: Treat others with courtesy and respect, even when disagreeing.

• Stay On-Topic: Keep comments relevant to the article or discussion thread.

• No Hate Speech or Harassment: Do not post content that is unlawful, defamatory, obscene, pornographic, racist, sexist, hateful, or harassing.

• No Personal Attacks: Do not engage in ad hominem attacks or threaten violence against others.

• No Spam or Promotion: Do not post unsolicited advertisements, spam, or promotional material.

• No Impersonation: Do not impersonate others or misrepresent your affiliation.

• Protect Privacy: Do not share personal information about yourself or others.

• No Illegal Activities: Do not promote or engage in illegal activities.

• Your Content: You are solely responsible for any content you post (e.g., comments). By posting content, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media.

• Moderation: We reserve the right, but are not obligated, to monitor, review, edit, or remove any user-generated content for any reason, including content that violates these Terms or is otherwise objectionable, in our sole discretion, without prior notice. We may also restrict or terminate your ability to comment or interact with the community if you violate these Terms.

6. Disclaimers and Limitation of Liability

• Maximum Liability: Our total cumulative liability for any and all claims arising from or related to your use of the Publication shall not exceed the amount you have paid to us for your paid subscription in the twelve (12) months preceding the claim, or one hundred US dollars ($100.00) if you are a free subscriber.

7. Indemnification

You agree to defend, indemnify, and hold harmless the Publication, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Publication, including, but not limited to, your user-generated content, any use of the Publication's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Publication.

8. Third-Party Links

The Publication may contain links to third-party websites or resources. These links are provided for your convenience only. We have no control over the content of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. Your access and use of such linked websites are solely at your own risk and subject to their respective terms and conditions.

9. Termination

We may terminate or suspend your access to all or part of the Publication, including your subscription, at our sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Publication will immediately cease. If you are a paid subscriber, we may, at our sole discretion, offer a pro-rata refund for the unused portion of your subscription if the termination is not due to your breach of these Terms.

10. Governing Law and Jurisdiction

All matters relating to the Publication and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Commonwealth of Virginia, USA without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Publication shall be instituted exclusively in the federal or state courts located in Virginia, USA, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

11. Entire Agreement

These Terms of Service and our Privacy Policy constitute the sole and entire agreement between you and Triantha LLC regarding the Publication and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Publication.

12. Waiver and Severability

No waiver by Triantha LLC of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Triantha LLC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

13. Changes to the Terms of Service

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Publication thereafter.

Your continued use of the Publication following the posting of revised Terms means that you accept and agree to the changes. We encourage you to review this page periodically so you are aware of any changes, as they are binding on you.
